He promised that he would not participate in the capital operation and investment of Huixingxing at any time in the future.

Since Dong Yuhui became popular in 2022, Yu Minhong has been pushed to the front countless times to respond to various questions about Dong Yuhui. Obviously, in Yu Minhong's heart, he hopes that yesterday's phone call will be the last one.

However, there are still many questions to be answered about Dong Yuhui, Yu Minhong and Oriental Selection. We have found 8 of the most curious ones and tried to give some answers.

Who made money? Who lost money?

According to Yu Minhong's open letter, the 76.59 million yuan that Dong Yuhui paid to acquire Yuhui Tongxing was arranged by Yu Minhong, and "the company was given to Yuhui." In addition, the 140 million yuan net profit on Yuhui Tongxing's books was also transferred to Dong Yuhui.

In other words, Yu Minhong spent more than 200 million yuan on this breakup. At first glance, this seems like a sky-high price, but in fact it is not expensive. For Dongfang Zhenxuan, it can be regarded as a big deal with a small amount of money.

Among them, the acquisition price of 76.59 million yuan for Yuhui Tongxing has become the focus of controversy. In the market, the valuation of Dong Yuhui's IP was once as high as 1 billion US dollars. However, there are many ways to value a company. The valuation of Yuhui Tongxing this time uses the cost method, rather than the market method or income method, which is a relatively conservative valuation method.

In comparison, just seven months after Luo Yonghao started live streaming to sell goods, the "Make Friends" live streaming room had a valuation of approximately RMB 1.46 billion.

According to China Business News, some shareholders questioned: "The core assets of a listed company were 100% divested at a price far below the market fair value. Does Yu Minhong dare to release the messages from small shareholders?"

When the Hong Kong stock market opened on the morning of the 26th, the Hang Seng Index rose 0.44%, while Oriental Selection fell 15%, and its market value once fell below 10 billion.

However, from the perspective of procedural justice alone, Yu Minhong's operation seems impeccable - it was approved by the board of directors and the remuneration committee; the valuation was determined by a third-party appraisal company; and judging from the numbers, the amount of money was not enough to require a special resolution of the shareholders' meeting.

Considering the negative emotions brought to shareholders by Dong Yuhui's resignation, Dongfang Zhenxuan and Yu Minhong jointly put forward a share repurchase plan of no more than 500 million yuan. At the shareholder conference call, Yu Minhong tried to prove the strength of Dongfang Zhenxuan's anchor team to the outside world, "After this round of fluctuations, Dongfang Zhenxuan's existing anchors have become more mature."

In order to dispel doubts, Yu Minhong also mentioned that the more than 70 million yuan paid on behalf of Dong Yuhui will be paid through a certain cooperative relationship between New Oriental and Dong Yuhui. "This process will comply with all the rules of New Oriental as a listed company in the United States and will not infringe on any interests of Oriental Selection."

Judging from the results, Yu Minhong used this "small amount of money" to buy Dongfangxuan and his future "peace"; Dong Yuhui did not spend a penny, but gained a new company with 140 million yuan on the books. It seems that a world where only small and medium shareholders are hurt has been achieved.

Economist Ma Guangyuan wrote on Weibo: "As a person, Lao Yu has done his best for Dong Yuhui and couldn't have been better; but as a business, Lao Yu's decision to let Dong Yuhui, a cash cow, leave is an absolute dereliction of duty and a serious irresponsibility to the shareholders of Dongfang Select."

"Mother-in-law" in Breakup

What role do you play?

"Mother-in-law" was originally a name that Dong Yuhui called his fans. However, in the midst of the storms, this name no longer represented warmth, but battle. In the hearts of all the "mothers-in-law", there is a unified "imaginary enemy" - Dongfang Selection.

The most intense "battle" was also the most popular "essay incident". At that time, the "mothers-in-law" insisted that the essays in the Oriental Selection special were entirely written by Dong Yuhui, not "team creation". In order to defend Dong Yuhui and publicly protest against Oriental Selection, countless "mothers-in-law" poured into the live broadcast room of competitor Gaotu Jiapin, bringing the number of online users to more than 100,000 in the end, while in the past six months, this number was only a few dozen.

As the "opposite", Oriental Selection saw its market value evaporate by up to about HK$4 billion in the following week, its Douyin account lost about 700,000 followers, and Dong Yuhui's personal account gained more than 10 million new followers.

The result of this battle can be said to be a complete victory for the "mother-in-law". Sun Dongxu, who was considered to have "stabbed" Dong Yuhui in the incident, was removed from his position as CEO and executive director. Dong Yuhui gained three new titles: Senior Partner of Oriental Selection, Cultural Assistant to the Chairman of New Oriental Education and Technology Group, Vice President of New Oriental Culture and Tourism Group, and a brand new account - Walking with Hui.

Less than a month later, the show "Traveling with Hui" premiered, and the "mothers-in-law" came out en masse. In just four hours of live broadcast, "Traveling with Hui" won the top five rankings: popularity, hourly, sales, fans, and likes. Fans did not give Dong Yuhui time to talk about the product slowly. Sometimes, when he just started, the director outside the camera told him directly that "there is no stock." Douchacha data showed that the GMV of the entire live broadcast was expected to be 160 million yuan.

GMV is the most important data for "mothers-in-law" to prove Dong Yuhui's value. In the eyes of fans, Dong Yuhui has always been in a weak position. They believe that Dong Yuhui's treatment is far less than his contribution to the company. Dong Yuhui's after-tax income in 2023 is several million yuan. In contrast, in 2021, Li Jiaqi's income was 1.855 billion yuan, Simba's annual income was 1.298 billion yuan, and Luo Yonghao, the anchor of "Make Friends", had an annual income of 245 million yuan. Dong Yuhui's income is much lower than theirs.

After the launch of Yu Hui Xing Tong, the battle among the "mothers-in-law" continues. In March this year, Yu Hui Xing Tong and New Oriental Culture and Tourism both announced plans to go to Henan for live broadcasts. The overlap of the locations once again made fans point the finger at Yu Minhong, believing that he was deliberately stealing Dong Yuhui's limelight.

Under pressure, Yu Minhong had to apologize on Douyin, saying that he "never had plans to go to Henan to live broadcast", and demanded that Henan New Oriental Culture and Tourism completely stop live broadcasts and carry out rectification.

A bigger storm is brewing. In June, Mingming (formerly known as Shi Ming), a host of the TV show Oriental Selection, used the phrase "broken mountains and rivers" to describe the terrain of the Yunnan-Guizhou Plateau. A post by host YoYo on Weibo mocking local spiders was also dug up.

Dongfang Zhenxuan did not choose to respond to these two specific things, but instead issued a statement to clarify that it had never asked for slot fees or publicity fees, and attached the full text of the rumor in a rare move. In the rumor article, Dong Yuhui was only respectfully called "teacher", while Dongfang Zhenxuan was called "next door" and Yu Minhong was called "old man", which seemed to have a clear position.

This once again ignited a fight between fans. Yu Minhong's Douyin comment area soon became the battlefield chosen by fans to tear each other apart. Both sides rushed to display each other's "evidence of guilt". In the end, Yu Minhong had to close the Douyin comments.

In the face of the fights between fans, Yu Minhong has tried to mediate and give in, and has also tried to ignore them. Now, when talking about the reason for Dong Yuhui's resignation, Yu Minhong mentioned public opinion more than once. At first, he only saw comments criticizing him for being "stingy" during live broadcasts, but later it evolved to the point that whenever he made a notice, appeared in front of any camera, or even went on a personal trip, he would receive negative comments.

Every victory of the fans seems to push Dong Yuhui further away from Oriental Selection. Yu Minhong described that after Dong Yuhui's departure, Oriental Selection will have "a clear or relatively peaceful development environment that is future-oriented, predictable, and increasingly certain."

Why did you break up now?

Before officially announcing their breakup, Yu Minhong and Dong Yuhui had made long preparations.

According to Yu Minhong, everything started in March this year. At that time, although the stock price of Dongfang Zhenxuan was unstable, the sales of Yihui Tongxing were getting better and better. Both parties began to think about making Yihui Tongxing independent. The final result was that the process of Yihui Tongxing's independence was initiated at the end of the fiscal year, that is, on May 31.

Dong Yuhui's statement confirms this. In March this year, Dong Yuhui revealed in a live broadcast that they were selecting a new office location. Dong Yuhui said that for long-term development, relocation is imminent. In the future, he will rent a large flat and put the live broadcast room, warehouse, etc. on the same floor.

On July 21, Dong Yuhui's team evacuated the Beijing New Oriental building where Dongfang Zhenxuan was located and moved into a new 2,100-square-meter work area in the Internet Finance Center to start broadcasting. According to media reports at the time, the new home of Yuhui was found and decorated by the New Oriental asset team, and the reason for the relocation was simply "not enough workstations."

But now it seems that moving out of the New Oriental building should be the first step for Dong Yuhui's team to be "physically independent". There are many other signs that reflect the separation of the two. Since June this year, anchors who work with Hui have frequently called Dong Yuhui "boss". On social media, several employees who work with Hui have also removed the word "Eastern" from their names.

But the plot may have started even earlier.

Since its launch, Walking with the Brilliant has not used the self-operated products of Oriental Selection, but has chosen to carry third-party products. Self-operated products have always been the bulk of Oriental Selection's revenue. Perhaps from the beginning, Oriental Selection did not plan Walking with the Brilliant into its future.

Yu Minhong has always felt that he is the person who can "back up" the company. He once analyzed the obstacles his personality brought to the company - "I am weak and unwilling to confront others head-on. Sometimes I look back and forth when doing things. I think the decision is right, but considering other people's emotions, I am not motivated enough, which leads to the slow transformation of New Oriental."

But this time, in breaking up with Dong Yuhui, Yu Minhong showed his determination. In a shareholder conference call, he said: "If you think I am not qualified to be the CEO or chairman, we can elect a new chairman or CEO."

What survival rules has Yu Minhong learned?

At the shareholders' meeting via telephone, Yu Minhong also affirmed Dong Yuhui's value: "Without Yuhui, Yuhuixing would be worthless." He attributed all this to the changes in society, "In the era of Internet celebrities and traffic, the added value lies in a certain person."

After moving to the new address, Yu Minhong visited the company and was once again shocked by the support gifts given by the mothers-in-law - barley and flowers were everywhere, and the mothers-in-law wore red sweaters and took photos in the sea of ​​flowers. Yu Minhong described that it took him "two minutes" just to walk through the wheat ears and flowers. At these moments, Yu Minhong may have "realized" the mystery of the era of Internet celebrities and traffic.

In the early days of Dong Yuhui's popularity, everyone's evaluation of Yu Minhong was that he was still stuck in the past and could not understand the strategic significance of the super-head anchor. The most famous complaint came from Luo Yonghao, a former famous teacher at New Oriental and later a top anchor. At that time, Luo Yonghao believed that Yu Minhong did not understand live streaming and that he had to compare Dong Yuhui's sales performance through AB testing so that Yu Minhong could know how much Dong Yuhui was worth.

But in the past two years, with every storm, Yu Minhong has also learned more and more survival rules in the "era of internet celebrities and traffic."

The anchors must be paid enough. In the past year, Dong Yuhui was promoted, received a salary increase, and became a senior partner. After hearing about the high salary that Dongfang Zhenxuan paid Dong Yuhui, Luo Yonghao made a joke that was not really a compliment, "It's not easy for a stingy person. The changes of the times have taught him a lesson." According to the 2024 interim financial report, during the reporting period, Dongfang Zhenxuan paid 600 million in salaries alone, a year-on-year increase of 167.7%. In addition to Dong Yuhui, the other anchors also received equity incentives. In the latest recruitment announcement of Dongfang Zhenxuan, the annual salary for the anchor position is set at 600,000.

Explanations must be clear enough. When the short composition incident was at its hottest, Yu Minhong once did a live broadcast. He and Dong Yuhui looked at each other in embarrassment. In that live broadcast, Yu Minhong was criticized for being "vague" and "vague" about the subsequent handling results, which failed the expectations of the "mothers-in-law". The internal employees explained that "both parties are not communicative", which retains the tacit silence of traditional enterprises.

But when the separation takes place today, Yu Minhong will clearly explain every step of the separation of Hui Xingxing from Dongfang Selection in the announcement and shareholders meeting, and answer all the questions that the public is curious about. Will Dong Yuhui really go to teach?

No other top anchor has ever shown as much awkwardness in front of the camera as Dong Yuhui.

In 2022, when Dong Yuhui suddenly became popular, he said in an interview with Daily People that if he left Dongfang Zhenxuan and the money in his hand was enough for a normal life, normal meals, and enough for his family to buy medicine, then he would go to a mountain village to teach. After that, Dong Yuhui mentioned his vision for the future countless times, all of which were hoping to return to the teaching position.

Compared to Li Jiaqi, who started out as a salesperson, and Wei Ya, who has worked as a singer and actor, Dong Yuhui does not seem to enjoy the spotlight from the public. In June this year, Dong Yuhui participated in a talk show and expressed his true feelings about his rejection of live streaming work, which made him lose sleep and feel troubled. When someone called him an "Internet celebrity", his first reaction was "disgust".

The most unacceptable moment for this job was probably when he was selling products he didn't like, such as underwear, in the live broadcast room. That time, holding underwear in his hand, Dong Yuhui couldn't speak and said frankly that he "really couldn't explain it." Later, "Dong Yuhui refused to explain underwear three times" became a hot search, with more than 50 million views. Seeing those comments saying that he "discriminated against women" and "did not fulfill his duties", Dong Yuhui chose to log out of Weibo.

From this perspective, Dong Yuhui is indeed not a "standard" public figure. After all, almost every anchor has encountered criticism from the public, just like Li Jiaqi, who caused controversy last year because of his "where is expensive" remarks. Whether it was dissatisfaction with the live broadcasting job or rejection of the public identity, Dong Yuhui seemed to have reasons to leave the live broadcast room. However, today, Dong Yuhui is no longer just a big anchor. As the boss of Hui, he needs to play the role of the helmsman.

Dong Yuhui needs to be responsible for his team. When it was first broadcast, the new company had only about 70 people. After just a few months, it had expanded to 150 people. In a live broadcast, Dong Yuhui revealed the pressure of management - rent is a reality that cannot be ignored. After moving out of Dongfang Zhenxuan, the rent soared 5 times, "rent and other costs are all I see when I open my eyes." According to Yu Minhong, today, Yuhui Tongxing still has a net profit of 140 million in its account. For a startup team of 100 people, this amount of money is not much.

Of course, retreating behind the scenes is almost the common destination of big anchors. Whether it is Simba who chooses to train apprentices, or Li Jiaqi and Wei Ya who have many secondary anchors, they all reduced their appearance frequency in the later stage of live broadcast, relying on live broadcast accounts such as "All Girls Live Room" and "Bee Surprise Club" to maintain the company's influence in the live broadcast track.

But before that, the core task of the big anchors is to use their own traffic to pave the way for the secondary anchors and apprentices. Just like Wei Ya, she also needs to pry more resources for her own supply chain by participating in variety shows. Wei Ya's younger brother Huang Tao is in charge of business. He once lamented that for example, mobile phones and cars are cooperation opportunities that he could not reach before, and they were all brought by Wei Ya's variety shows.

It can be seen that as the person with the strongest monetization ability and the greatest potential to pry open resources in the company, at least for now, Dong Yuhui cannot leave the live broadcast room for the time being, let alone bid farewell to the world of fame and fortune.

Dongfang Zhenxuan has always wanted to be the next "Sam's Club" rather than an MCN company like Mei ONE. During yesterday's shareholder conference call, while clarifying the various money flows, Yu Minhong did not forget to advertise his own sparkling water and "Golden Pillow Durian Meat".

As early as the founding of Oriental Selection, then CEO Sun Dongxu set the strategy of self-operated brands and self-built supply chains. In meetings, he mentioned most that Sam's Club was his learning object, and he hoped to make "Sam's Club-level products".

This is indeed the case. Dongfang Zhenxuan has gradually become an "apprentice" of Sam's own products - replicating Sam's salmon pieces, steaks, chestnuts, and egg yolk crisps; learning from Sam's entrusting third-party companies to process and produce, doing the so-called OEM business. Even the membership system is exactly the same. At the end of 2023, Dongfang Zhenxuan APP will launch paid membership services.

The existence of Dong Yuhui seems to be an obstacle to the advancement of the "product route". Sun Dongxu once said in an interview, "After he became popular, (Dong Yuhui) began to have thoughts about whether to be a small idol. What I have to do is to expose him, and exposing him is to protect him." Sun Dongxu hopes that when the heat cools down, fans will transfer their good feelings for the anchor to the products of Dongfang Zhenxuan, which will allow the company to go further.

However, more and more attention and popularity are still attracted by Dong Yuhui personally. The traffic and exposure of Oriental Selection began to rely more on Dong Yuhui personally rather than the brand of Oriental Selection. In the eyes of the outside world, Dong Yuhui and Yuhui Xingxing are regarded as the most important core assets of Oriental Selection.

According to the data of the sales ranking, in March this year, the live broadcast room of Yuhuixing ranked first with a GMV of over 600 million yuan, close to the sum of the second and third place. In contrast, Dongfangzhenxuan only had 286 million yuan, ranking fifth.

When a company and an individual IP are forcibly bound, it means that uncontrollable risks are increasing. On February 27 this year, Dong Yuhui cancelled his Weibo account due to public opinion. On that day and the next day, the stock price of Dongfang Zhenxuan fell by 3.89% and 2.98% respectively.

Getting along with celebrity IPs has always been a topic of discussion for Yu Minhong. During the New Oriental era, he used the term "chef effect" to describe the relationship between New Oriental and "celebrity lecturers": restaurant owners invested a lot of money in renting and renovating restaurants and hiring chefs to take charge. When business is booming, chefs will ignore other factors, believing that making money is all their own work, and will go to the boss to share more profits. Once their demands are not met, chefs will leave.

For Yu Minhong, it is time for Dong Yuhui, the "cook", to leave. "I personally feel that if we don't separate now, we may end up killing each other in the future."

Can I go along with Hui?

Just a year ago, Dong Yuhui positioned himself as a "salesman" in his profile. Now that he has to play a leading role, the challenges he faces are enormous.

Before fierce conflicts broke out within Oriental Selection, Yu Minhong, Sun Dongxu and Dong Yuhui had maintained a "three-legged race" - Yu Minhong was responsible for grasping the general direction, Sun Dongxu was responsible for the supply chain, and Dong Yuhui was the traffic grabber.

For Oriental Selection, every role is indispensable, especially Yu Minhong’s industry resources and political sense. According to Wandian.com, in the early days, Yu Minhong was the only one in Oriental Selection who was certain that “before the platform is established, only agricultural products are allowed to be sold.” The anchors were worried about sales and secretly sold cosmetics and electronic products. Yu Minhong was furious when he found out and made it clear that Oriental Selection would rather lose money than cross the strategic red line.

Later, Dongfang Zhenxuan focused on cultural tourism and also maintained good relations with local government departments. An e-commerce insider once told Blue Whale News that Dongfang Zhenxuan’s biggest advantage is actually “G-end resources”. Not only that, in the first few months of the launch of “Traveling with Hui”, although Dongfang Zhenxuan’s self-operated products were not sold, according to the management at the shareholders’ meeting, the selection of products for “Traveling with Hui” was still “decided” by Dongfang Zhenxuan’s supply chain.

Now that Huitongxing has become independent, how to select products, what to sell, and how to obtain better resources have become issues that Dong Yuhui needs to consider. Yu Minhong obviously knows this, so he remains slightly reserved - from now on, he is only the chairman of Dongfang Zhenxuan and will not participate in the management and capital operation of Huitongxing. Privately, he continues to be a "friend regardless of age", but in the business field, the two companies will be a clear "competitive relationship".

Dong Yuhui, who doesn't like the camera, also needs to learn how to deal with the platform. In a live broadcast, Dong Yuhui revealed that he had just had an afternoon meeting with people from Douyin, who hoped that "Hui Xingxing would develop faster." Dong Yuhui was helpless, thinking that he was already fast enough and that Douyin's requirements were too high.

Any MCN company will always reach the stage of building its own supply chain. This may be the biggest difficulty that Dong Yuhui will have to face in the future. Previously, the largest IP-style MCN company in the industry was Mei ONE, where Li Jiaqi worked. Now it has also started from scratch "Mei ONE Optimal Selection" and sells self-operated latex mats in its flagship store. Yaowang Technology, which has signed stars such as Jia Nailiang, did not forget to build a footwear base covering more than 10,000 square meters in Wenzhou. Of course, Dongfang Zhenxuan, Dongfang Zhenxuan, took this step earlier. In January this year, it invested in a supply chain company for the first time-expanding its own sausage factory. Will there be another Dong Yuhui in Oriental Selection?

After taking the course "Dong Yuhui", Yu Minhong has become a master in traffic. At the shareholders' meeting, in response to the question of "Will there be the next Dong Yuhui?", he gave a master's answer:

One of the legs of Oriental Selection is still traffic, so it will dig out high-quality anchors from the many famous teachers in reserve to "promote the traffic development of Oriental Selection". But on the other hand, will the anchors fly solo like Dong Yuhui? The answer is no, Dong Yuhui will become the last exception, just like New Oriental did not allow teachers to set up famous teacher studios separately.

To some extent, this answer is in line with Yu Minhong's entrepreneurial philosophy and has soothed the hearts of some shareholders.

After Dong Yuhui, Oriental Selection has indeed become more cautious in controlling traffic. In the second echelon of anchors, Dun Dun, who has 2 million Douyin fans, is far ahead. For this reason, with him in charge, Oriental Selection established the "Oriental Selection Beautiful Life" account. But later, Dun Dun did not get more traffic. Instead, after the account was established, he was assigned to a new matrix account. This once again caused a conflict between the anchor and the company. Dun Dun complained that he made the decision on his own "without consulting the anchor."

These details prove that Dongfang Zhenxuan will never take the initiative to create the next Dong Yuhui. This is very different from the operating model of super anchors such as Li Jiaqi and Wei Ya. You know, Qi Zhenbo, the founder of Mei ONE, bet on Li Jiaqi. For this reason, he directly dismissed hundreds of anchors in the company and tilted all resources to Li Jiaqi. As for Wei Ya, she has a product selection team of nearly 300 people who only serve Wei Ya's live broadcast room.

However, the emergence of traffic is always full of surprises. In fact, within Oriental Selection, there has never been a soil for the birth of super IPs. Anchors including Dong Yuhui are not allowed to broadcast live, establish personal fan groups, or use personal accounts to accept endorsements and cooperation.
