According to the Red Star Capital Bureau on August 13, yesterday, China National Nuclear Titanium Dioxide (002145.SZ) issued an announcement stating that after nomination by the company's chairman Yuan Qiuli and approval by the board of directors' nomination committee, it was agreed to appoint Zhou Yuan as the company's board secretary.

CNNC Titanium Dioxide said that Zhou Yuan has obtained the board secretary qualification certificate issued by the Shenzhen Stock Exchange. At the same time, as of the announcement date, Zhou Yuan did not hold any shares in the company and had no affiliation with shareholders holding more than 5% of the company's shares, actual controllers, and other directors, supervisors, and senior management of the company.
Zhou Yuan's resume shows that he was born in 1996, holds a bachelor's degree in finance from Jinan University, a master's degree in finance from Zhejiang University, and has obtained the legal professional qualification and the non-practicing membership of the CPA. He is currently a non-independent director of the seventh board of directors of China National Nuclear Huayuan Titanium Dioxide Co., Ltd. and the executive director and general manager of Wuxi China National Nuclear Huayuan Titanium Dioxide Co., Ltd.
The Red Star Capital Bureau noted that on November 7, 2020, CNNC Titanium Dioxide announced that Zhou Yuan was elected as a member of the fifth employee stock ownership plan management committee. On March 4, 2021, CNNC Titanium Dioxide announced that Zhou Yuan accompanied Han Yuchen, then secretary of the board of directors, to participate in institutional research as deputy director of the strategic investment department. On October 13, 2022, CNNC Titanium Dioxide announced the establishment of a subsidiary, Huili Vanadium Energy Mining Co., Ltd., with Zhou Yuan as the legal representative.
On March 26 this year, CNNC Titanium Dioxide announced that Han Yuchen, the company's non-independent director, member of the board of directors' nomination committee, and secretary of the board of directors, resigned for personal reasons, and Zhou Yuan was nominated and elected as a non-independent director. On June 25, CNNC Titanium Dioxide announced that Zhou Yuan was re-elected as a member of the board of directors' nomination committee.
It is worth noting that Wang Zelong, the actual controller of CNNC Titanium Dioxide, was also born after 1995. CNNC Titanium Dioxide announced in December 2019 that Wang Zelong planned to purchase approximately 430.5 million shares held by Li Jianfeng, the original controlling shareholder and actual controller of the company, at a price of 1.636 billion yuan, accounting for 27.05% of the company's total share capital. In February 2020, the equity transfer was completed, and Wang Zelong directly held 430.5 million shares of CNNC Titanium Dioxide, accounting for 27.05% of the company's total share capital, making him the company's largest shareholder.
It is worth noting that Wang Zelong was born in 1996 and was only 23 years old when he took over CNNC Titanium Dioxide. In April this year, Wang Zelong was confiscated of illegal gains of 60.638 million yuan and fined 72.5 million yuan for violating restrictive regulations on the transfer of CNNC Titanium Dioxide's 2023 non-public offering of shares and illegal information disclosure, with a total fine of more than 130 million yuan.
On August 12, CNNC Titanium Dioxide released its 2024 semi-annual report, showing that the company achieved operating income of 3.151 billion yuan in the first half of the year, a year-on-year increase of 42.29%; net profit attributable to shareholders of listed companies was 304 million yuan, a year-on-year increase of 42.09%. Regarding the revenue growth, CNNC Titanium Dioxide said that it was mainly due to the increase in both sales volume and price of titanium dioxide during the reporting period.
